As a Junior Corporate Counsel, you will:
- Will provide essential legal support across the company's commercial transactions, corporate governance, and employment law functions.
- Report to Senior Legal Leadership, this role focuses on the technical execution of legal documents, contract management, regulatory filings, and research.
- Ensure that the company's operational, commercial, and labor objectives are met with high accuracy, compliance, and speed.
- Commercial & Transactions: Provide legal support for the company's contracting lifecycle, revenue-generating transactions, and vendor ecosystem. Assist in drafting master service agreements (MSAs), statements of work (SOWs), Non-Disclosure Agreement (NDA) and reviewing various vendor contracts.
- Corporate Entity & Governance: Handle day-to-day corporate affairs, subsidiary management, and regulatory compliance. Assist in the preparation of board materials, manage entity records, and handle the technical execution of corporate filings to ensure all entities remain in good standing.
- Employment & Litigation: Provide legal guidance across labor relations and litigation functions. Support HR and Operations teams on day-to-day employment-related legal tasks, assist in resolving workplace issues, and support active litigation or dispute resolution efforts.
- Compliance & Data Privacy: Support ongoing data privacy initiatives and ensure both commercial agreements and corporate structures adhere to strict regulatory standards.
- Professional Credentials: Qualified lawyer in Colombia with a valid professional card (Tarjeta Profesional) in good standing. An specialization (Especialización) or advanced coursework in Corporate, Commercial, or International Business Law is highly advantageous.
- Professional Tenure: 2-5 years of post-qualification experience in Corporate, Commercial, or Employment Law, with a proven track record of working within or supporting Multinational Companies (MNCs) or the Business Process Outsourcing (BPO) sector.
- Cross-Border Expertise: Hands-on experience or strong theoretical understanding of cross-border legal support, international transactions, and managing corporate legal matters across multiple jurisdictions.
- Technical Proficiency: Strong legal research skills and experience in drafting and reviewing dual-language or English-based commercial contracts (e.g., NDAs, Master Service Agreements, SOWs). Fully bilingual proficiency (English and Spanish) is required for handling cross-border documentation.
- Regulatory Foundation: Solid understanding of Colombian corporate governance, local labor regulations (such as the Código Sustantivo del Trabajo), and Colombian Data Privacy regulations (Law 1581 of 2012), with the ability to map these to international frameworks (like GDPR).
- Detail Orientation: Exceptional proofreading and analytical skills with a focus on maximum legal defensibility, "zero-defect" corporate maintenance, and compliance across diverse business units.
